Vendor agrees to:
1) Abide by all rules and regulations adopted by Taste of Calgary™ and Calgary Free Festival Society, and sponsors in the best interests of the show and agrees that Taste of Calgary™ and Calgary Free Festival Society staff shall have the final decision in adopting any rule or regulation deemed necessary prior to, during and after the show. Penalty for non-compliance is total forfeit of all tickets redeemed.
2) Observe all union contracts and labor relations agreements in force, agreements between Taste of Calgary™ and Calgary Free Festival Society and the official contractors serving the show facility and companies operating in the facility in which the show is taking place and to observe the labor laws of the jurisdiction in which the facility is located. The exhibitor will not do anything directly or indirectly connected with their display which might be a violation of any laws, bylaws, ordinances or regulations of any government or regulatory body.
3) Obtain at its own expense any licenses or permits from government bodies which may be required for the operation of its trade or business during the show and to pay all taxes that may be levied against it as a result of the operation of the trade or business in the space.
Display
4) The vendor agrees to occupy the contracted exhibit space during the term of the show and to exhibit the products described only under the exhibitor’s name, which appears, on this contract.
5) The vendor agrees to have its booth(s) and products set up and prepared for the show by 10:00 a.m. on the Thursday of the show start.
6) Taste of Calgary™ and Calgary Free Festival Society reserve the right in their sole and unfettered discretion to: (i) determine the eligibility of vendors and exhibits for the show, (ii) reject or prohibit vendors or exhibits which Taste of Calgary considers objectionable, and (iii) relocate vendors or exhibits when in Taste of Calgary™ and Calgary Free Festival Society opinion such moves are necessary to maintain the character and/or good order of the show.
Assignment and subletting
7) The vendor shall not assign any rights under this agreement or sublet the space without the prior written permission of Taste of Calgary™ and Calgary Free Festival Society which permission may be arbitrarily withheld. Booth space is solely for the applied and approved vendor. Sharing, subletting or other changes must be approved in writing.
Insurance
8) The vendor shall obtain and maintain at its own expense during the period commencing on the first move-in date and terminating on the last move-out date a policy of insurance from an insurer acceptable to Taste of Calgary™ and Calgary Free Festival Society. The policy of insurance shall protect Taste of Calgary™, Calgary Free Festival Society and The City of Calgary and insure the vendor against all claims, demands, actions or proceedings for sums of money, damages, costs, penalties and losses and all liability which may be imposed by law for loss of life, personal injury, or damage to or loss of property arising from or in any way connected with the exhibitor’s presence or operations at the show. Policy shall provide coverage of at least $2,000,000 for each separate occurrence.
Indemnity
9) The vendor accepts all risks associated with the use of the exhibit space and environs. The vendor shall not make any claim or demands or take any legal action, whatsoever, against Taste of Calgary™ and Calgary Free Festival Society, the show sponsors or the exhibition facility in which the show is held for any loss, damage or injury howsoever caused, to the vendor, its officers, employees, agents or their property.
10) The vendor agrees to indemnify and hold harmless Taste of Calgary™ and Calgary Free Festival Society, show sponsors and the facility, their officers, agents and employees, against all claims, losses, suits, damages, judgments, expense costs and charges of every kind resulting from their company’s occupancy of the exhibit facility or its environs, for any reason or personal injuries, death, property damages or any other damage sustained by the exhibitor or its officers, agents, employees or by another exhibitor, or taste of Calgary or a visitor to the show.
10B) Taste of Calgary™ and Calgary Free Festival Society reserves the right to use the vendors image and all images (referring to business and personal) on social media and all online and promotional related materials.
Vendors property
11) All of the vendors property at the show shall be at the sole risk of the vendor. Taste of Calgary™ and Calgary Free Festival Society assumes no responsibility for loss or damage thereto. The vendor shall assume all responsibility for all loss or damage to its property howsoever caused.
Removal of exhibits
12) The vendor agrees no display will be dismantled or goods removed during the entire run of the show, but will remain intact until the end of the final closing hour of the last show day and the exhibit must be staffed until the final hour of the closing day. Penalty for failing to comply will be the forfeit of the ticket redemption refund as outlined in the Booth Space agreement. The vendor also agrees to remove its display and equipment from the show site by the final move-out time limit, or in the event of failure to do so, the vendor agrees to pay for such additional costs as may be incurred.
Exhibit Facility
13) The vendor is liable for any damage caused by it to the exhibit facility or to any property of Taste of Calgary™ and Calgary Free Festival Society, its agents or any other vendor/exhibitor.
14) The vendor may not spill grease, oil or any other staining product onto the exhibit facility or to the property of Taste of Calgary™ and Calgary Free Festival Society, its agents, or any other vendor/exhibitor.
15) The vendor may not apply paint, lacquer adhesive or other coatings to the exhibit facility or to the property of Taste of Calgary™ and Calgary Free Festival Society, its agents, or any other vendor/exhibitor.
16) The vendor may not leave garbage, cardboard, bottles, equipment or any type of left over junk at the end of the event at the exhibit facility or on the property of Taste of Calgary™ and Calgary Free Festival Society, its agents, or any other vendor/exhibitor. A $500 fee or greater if necessary, will be taken from your final payment in failure to meet this agreement. We ask that you leave the space in the condition that you received it.
Cancellation and termination of agreement
17) This contract may not be canceled. All payments for booth space are non-refundable.
18) In the event the vendor fails to make payment as aforesaid or fails to comply in any respect with the terms of this contract, Taste of Calgary™ and Calgary Free Festival Society reserve the right to cancel this contract without notice and all rights of the vendor here under shall cease and terminate.
19) Any payment made by the vendor on account hereof will be retained by Taste of Calgary™ and Calgary Free Festival Society as liquidated damages for breach of contract and Taste of Calgary™ and Calgary Free Festival Society may thereupon rent said space.
20) Failure to appear at the event does not release the vendor from responsibility for payment of the full cost of the space rented.
Cancellation
21) Should the facility where the show is being conducted become unavailable for occupancy, for "cause or causes" not within the control of Taste of Calgary™ and Calgary Free Festival Society and sponsors, Taste of Calgary™ and Calgary Free Festival Society and sponsors will not be held responsible for any claims or damage which might arise in consequence thereof. The "cause or causes" listed will include, but not be limited to, such items as fire, lightning, casualty, explosion, flood, weather, epidemic, earthquake, acts of public enemies, riots or civil disturbances, strike, lockout, boycott, or other acts of god.
